CugTrips Social Media Ambassador Program Terms & Conditions

The following Terms (the "Terms") govern participation by all individuals (each an "Ambassador" or "You") in the CugTrips Social Media Ambassador Program ("Ambassador Program" or "Program") and, together with any terms incorporated herein, form a binding legal agreement between You and CugTrips LLC, a wholly-owned subsidiary of Ethnologic Inc., and its affiliates ("CugTrips"). By agreeing to participate in the Ambassador Program, and upon CugTrips' acceptance of you into the Program, You agree to these Terms. Please carefully read these Terms, as well as CugTrips' general Terms of Service and Privacy Notice, before you agree to participate in the Ambassador Program.

1. Definitions: The following words used in these Terms shall mean:

1. A. "Referral Code" means a custom code or URL link generated by CugTrips and provided to the Ambassador specific to their CugTrips account, to be distributed by Ambassador, including without limitation via social media platform(s) or other digital platform(s) (e.g., email, website) enabling viewers to click to visit the referred destination.

2. B. "Ambassador Content" means all content, works, media, and materials, and other intellectual property, created or developed by the Ambassador for the purpose of disseminating the Ambassador's Referral Code on social media and other digital platforms.

3. C. "CugTrips Content" means all intellectual property rights (including without limitation all copyright, patent, trademark, and trade secret rights), title, and interest to and in: the CugTrips platform, products and services, and all software, inventions, technology, tools, design, copy, ideas, layouts, interfaces, campaigns, and schemes created or used in connection therewith; any CugTrips trademarks, service marks, trade dress, and logos of CugTrips, whether or not registered; any CugTrips designs, copy, or works subject to copyright protection and/or eligible for copyright protection, whether or not registered, and all tangible representations of the foregoing.

4. D. "Qualified Referral" means a referral that is made by a CugTrips Ambassador who has completed each of the steps in either the procedure that was communicated to the Ambassador upon acceptance into the Program, or any subsequent alternate procedure that is later communicated to the Ambassador during the course of their participation in the Program.

2. Eligibility and Acceptance.

To participate in the Ambassador Program, you must be eighteen (18) years old or older and must complete the application process to be accepted by CugTrips into the Program. All determinations of acceptance will be made in CugTrips' sole discretion. Acceptance into the Program is not an offer of employment and no employment relationship shall be created by these terms. Individuals accepted to the Program shall remain independent entities, and no contractual relationship between CugTrips and any such individual shall be created other than as set forth herein. The following individuals are not eligible for acceptance to participate in the Program: All employees and contractors of CugTrips LLC, Ethnologic Inc., or their affiliates, sales representatives, licensees, judges, representatives, advertising and promotion agencies or agents (all of the foregoing, collectively, "CugTrips Entities"), and their immediate family members (spouse, parent, child, sibling (or "step" of each) and their respective spouses) and those living in the same household of each (whether legally related or not), are ineligible to participate in the CugTrips Social Media Ambassador Program. All applicable federal, state and local laws and regulations apply. The Program shall be void where prohibited by law.

3. Referrals.

Upon your application and acceptance to the Ambassador Program, CugTrips will provide you with a unique "Referral Code," a URL link which you may personalize by using your first name, nickname, or social media handle. You may then post your Referral Code, subject at all times to these Terms, on your owned, controlled, and/or operated websites, emails, and social media platform profile(s) (collectively, "Ambassador Sites"). Along with the Referral Code, CugTrips will provide you with instructions regarding the necessary steps you must complete to earn travel credits and cash rewards for sharing your Referral Code (a "Referral"). Such rewards will be granted by CugTrips through the platform, in the form of travel credits or cash (collectively, "Referral Rewards"), subject at all times to the terms and conditions applicable to travel credits and cash rewards, as set forth below. The amount of Referral Rewards earned for each Qualified Referral will be based on the referral tiers and revenue split outlined in the Ambassador Program description. Ambassadors may view their Referral Rewards in their CugTrips account dashboard, where the amount of Referral Rewards issued for each valid Referral can be reviewed. All determinations regarding the validity of any Referral and/or compliance with these Terms will be made in CugTrips' sole discretion.

4. Referral Reward Restrictions.

Travel credits and cash rewards issued in connection with any valid Referral will be subject to the terms and conditions set forth by CugTrips. Travel credits will be available for use for one (1) year following issuance, while cash rewards will be paid out according to the payment schedule determined by CugTrips. Travel credits and cash rewards have no cash value and are not transferable. Travel credits may only be redeemed for bookings made through the CugTrips platform.

5. Referral Rewards Procedure.

CugTrips will issue Referral Rewards to your CugTrips account for each Qualified Referral. CugTrips will track the use of your Referral Code, and may in its sole discretion void any Referral that CugTrips determines to be in violation of these Terms, or to be fraudulent. Examples of fraudulent Referrals include Referrals and/or registrations generated by a "bot" or computer script, or other automated, artificial or fraudulent method to make the Referral appear falsely to be a new CugTrips account registration by a unique eligible person. If a Referral Reward is generated in response to a travel booking, and the travel booking is subsequently canceled prior to the planned travel, the Referral Reward shall likewise be canceled. In the event that you dispute a denial of a Referral Reward, you may submit an explanation to CugTrips (via email to legal@cugtrips.com) in writing and in sufficient detail within thirty (30) days of the date of the determination. If you do not dispute the denial as set forth herein, You agree that You irrevocably waive any claims or challenges based upon that denial.

6. Ambassador Obligations.

Participation in the Ambassador Program is at Ambassador's own risk. Ambassador represents and warrants that, with respect to any Ambassador Content that includes CugTrips Content: (a) all opinions expressed by the Ambassador will be honest and truthful, and will comply will all federal, state, and local laws and regulations, including without limitation the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising and the WOMMA (Word of Mouth Marketing Association) Code of Ethics and Social Media Disclosure Guide; (b) the Ambassador Content will not violate the terms of service of any third-party site or tool used to create or publish the Ambassador Content; and (c) Ambassador is the rightful owner of all right and title to use all content included in the Ambassador Content, and that the Ambassador Content will not infringe or violate the intellectual property rights or other rights of any Person. Ambassador shall not make any statements which are negative, defaming or potentially damaging in any way whatsoever to CugTrips or CugTrips' products or services; and Ambassador will not engage in any conduct or statements in violation of applicable laws or that may bring Ambassador or CugTrips into public disrepute, contempt, scandal, or ridicule, or that may, given the connection between Ambassador and CugTrips, tend to damage the goodwill attached to the CugTrips Content, or the image or reputation of CugTrips.

7. Termination or Modification.

CugTrips reserves the right to revoke Ambassador's participation in the Ambassador Program at any time for any reason, and/or to revoke the limited licenses to CugTrips Content set forth herein, including without limitation for violations of these Terms. CugTrips reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Ambassador Program (or portion thereof) for any reason. CugTrips also reserves the right at its sole discretion to revoke the participation of any individual found to be (a) tampering or attempting to tamper with the application process or the operation of the Ambassador Program or any website or app operated by CugTrips; (b) using any robotic, macro, automatic, programmed or like entry methods, which will void all such entries; (c) violating these Terms, and/or rules of any CugTrips property or service; or (d) acting in a disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. CugTrips reserves the right to modify these Terms in any way or at any time.

8. Limitation of Liability.

CugTrips is not responsible for claims, injuries, losses or damages of any kind resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of the Referral Rewards; participation in the Ambassador Program or in any activity or travel related thereto.

9. Ownership and License.

Ambassador shall own all rights, including copyright, to the Ambassador Content. CugTrips shall own all rights, including copyright, to the CugTrips Content, and no rights to CugTrips Content are granted to Ambassador except as set forth expressly herein. CugTrips hereby grants to Ambassador, only during the time of Ambassador's participation in the Ambassador Program pursuant to these Terms, a limited, revocable, non-transferable, royalty-free license to use CugTrips Content solely for the purposes of creating and publishing Ambassador Content distributing a Referral Code. Any other use of CugTrips Content by Ambassador is prohibited.

10. Publicity.

As a condition of participating in the Ambassador Program, except where prohibited by law, each Ambassador grants to CugTrips a perpetual, worldwide, royalty-free license and right, to publicize, broadcast, display and/or otherwise use the Ambassador's name, city, state and biographical material (collectively, "Licensed Rights") in any media now known or hereafter devised throughout the world in perpetuity for advertising and publicity purposes, without additional review, compensation, permission or approval of any Ambassador.

11. Indemnification.

Ambassador shall irrevocably defend, indemnify and hold CugTrips and its affiliates and each of their respective employees, officers, directors, members, managers, shareholders, contractors and agents (collectively "Releasees") harmless from and against any and all liability, loss, damage or expense (including, without limitation, reasonable attorneys' fees, costs and expenses) arising out of or related to any allegation, claim or cause of action, involving: (a) Ambassador's breach of these Terms; (b) Ambassador's unauthorized use of the Referral Code, or any of the CugTrips Content; (c) Ambassador Sites; and/or (d) claims of infringement or violation of trademark, copyright, or other intellectual property rights, rights of publicity, or rights of privacy with respect to Ambassador Content.

12. Disclaimers.

The Ambassador Program and the products and services provided in connection therewith, are provided to Ambassadors "as is'' and "as available" without any representations, warranties or covenants of any kind. Except as expressly set forth herein, we expressly disclaim all warranties, express, implied or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing, usage, or trade. CugTrips does not warrant that the operation of the Ambassador Program will be completely error-free or uninterrupted.

13. Arbitration.

Any disputes that may arise hereunder shall be governed in all respects by the dispute resolution procedures set forth in the CugTrips Terms of Service, which include a waiver of right to jury trial. Please read the Terms of Service carefully.

14. Personal Information.

The personal information collected through the Ambassador Program is subject to CugTrips' Privacy Policy. By participating in the Ambassador Program, you agree to the use of your personal information as described in the Privacy Policy.
